Please read these terms carefully before using MALIPOPAY services

1. Definitions

In these Terms of Service ("Terms"), the following definitions apply unless the context requires otherwise:

  • "MALIPOPAY", "we", "us", or "our" refers to MALIPOPAY, a product of Lockwood Technology Ltd, a company registered and operating in the United Republic of Tanzania.
  • "Platform" refers to the MALIPOPAY website at malipopay.co.tz, the merchant dashboard at app.malipopay.co.tz, the MALIPOPAY API, and any related mobile applications or services.
  • "Merchant", "you", or "your" refers to any individual, business, or entity that registers for and uses the MALIPOPAY Platform.
  • "Services" refers to all payment collection, disbursement, invoicing, and related financial technology services provided through the Platform.
  • "Transaction" refers to any payment collection, disbursement, or transfer processed through the Platform.
  • "End User" or "Payer" refers to any person who makes a payment to a Merchant through the Platform.
  • "Payment Channel" refers to any payment method available through the Platform, including but not limited to mobile money operators, banks, card networks, and USSD services.

2. Acceptance of Terms

By accessing or using the MALIPOPAY Platform, registering for an account, or integrating our API into your application, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a business or legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" and "your" will refer to that entity.

If you do not agree with any part of these Terms, you must not access or use the Platform. We reserve the right to update or modify these Terms at any time. Continued use of the Platform after changes have been posted constitutes acceptance of the revised Terms.

3. Eligibility

To use MALIPOPAY Services, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction.
  • Be a resident of, or a business entity legally registered in, the United Republic of Tanzania or any other jurisdiction where MALIPOPAY operates.
  • Possess a valid Tax Identification Number (TIN) issued by the Tanzania Revenue Authority (TRA) if operating as a business.
  • Provide accurate and complete registration information, including valid identification documents as required under Know Your Customer (KYC) regulations.
  • Not be listed on any sanctions list maintained by the United Nations, the United States, the European Union, or any other applicable authority.

4. Account Registration

To access the full functionality of the Platform, you must create a merchant account at app.malipopay.co.tz. During registration, you agree to:

  • Provide truthful, accurate, and complete information as prompted by the registration form.
  • Maintain and promptly update your account information to keep it accurate and current.
  • Keep your login credentials confidential and not share them with any third party.
  • Accept responsibility for all activities that occur under your account.
  • Immediately notify MALIPOPAY of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate accounts that contain inaccurate, incomplete, or fraudulent information, or that violate these Terms.

5. Description of Services

MALIPOPAY provides a unified payment aggregation platform that enables Merchants to accept and manage payments through multiple channels. Our Services include:

5.1 Payment Collection

  • Mobile Money Collection: Accept payments via M-Pesa (Vodacom), Mixx by Yas (formerly Tigo Pesa), Airtel Money, Halopesa (Halotel), and TTCL Pesa.
  • Bank Collection: Accept bank payments through CRDB Bank and NMB Bank integration.
  • USSD Payments: Accept payments through our dedicated USSD short code *146*08#, accessible to all mobile network subscribers.
  • Card Payments: Accept debit and credit card payments from Visa, Mastercard, UnionPay, and American Express cardholders.

5.2 Disbursements

Send funds to mobile money wallets, bank accounts, and other supported destinations through our disbursement API or dashboard.

5.3 Additional Services

  • Payment Links: Generate shareable payment links for one-time or recurring payments.
  • Invoicing: Create and send professional invoices with integrated payment options.
  • TRA/EFD Integration: Automatic fiscal receipt generation through Tanzania Revenue Authority Electronic Fiscal Device integration.
  • URL Shortener: Create short, branded payment URLs for easy sharing.
  • QR Codes: Generate QR codes for in-store and offline payment acceptance.
  • Landing Pages: Build customizable payment landing pages for campaigns and products.

6. Fees and Pricing

MALIPOPAY charges transaction fees based on the payment channel used. The current fee structure is as follows:

  • Mobile Money (M-Pesa, Mixx, Airtel, Halotel, TTCL): 1% of the transaction amount.
  • Bank Payments (CRDB, NMB): 1% of the transaction amount.
  • Card Payments (Visa, Mastercard, UnionPay, Amex): 3% of the transaction amount.
  • USSD Payments (*146*08#): 1% of the transaction amount.
  • Disbursements: Fees vary by destination and volume. Contact us for current disbursement pricing.

All fees are deducted from the transaction amount before settlement to your account. MALIPOPAY reserves the right to modify fees with 30 days written notice to Merchants. Fee changes do not apply retroactively to transactions already processed.

7. Settlements

Funds collected through the Platform are settled to your designated bank account or mobile money wallet according to the settlement schedule applicable to your account tier. Settlement timelines are subject to completion of KYC verification, absence of disputes or chargebacks, and compliance with all applicable regulations. MALIPOPAY reserves the right to hold settlements if there is a suspected violation of these Terms, suspected fraudulent activity, or a pending dispute or chargeback.

8. Prohibited Activities

You agree not to use the Platform for any unlawful purpose or in violation of these Terms. Prohibited activities include, but are not limited to:

  • Processing transactions for illegal goods or services under Tanzanian law.
  • Money laundering, terrorist financing, or other financial crimes.
  • Selling counterfeit, pirated, or stolen goods.
  • Operating unlicensed gambling, lottery, or betting services.
  • Selling controlled substances, narcotics, or pharmaceutical products without proper licensing.
  • Processing payments for pyramid schemes, Ponzi schemes, or multi-level marketing programs that violate Tanzanian law.
  • Engaging in fraudulent, deceptive, or misleading business practices.
  • Attempting to reverse-engineer, decompile, or interfere with the Platform's infrastructure or security measures.
  • Using the Platform to process payments on behalf of third parties without proper authorization and disclosure.
  • Circumventing transaction limits, velocity checks, or other risk management controls.

Violation of these prohibitions may result in immediate account suspension, forfeiture of pending settlements, and referral to relevant law enforcement authorities.

9. Intellectual Property

All content, trademarks, logos, designs, software, APIs, documentation, and other materials associated with the MALIPOPAY Platform are the exclusive property of Lockwood Technology Ltd and are protected by intellectual property laws of the United Republic of Tanzania and international treaties.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for the purpose of accepting and managing payments in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.

10. Data Protection and Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal and transactional data. By using the Platform, you consent to the data practices described in our Privacy Policy.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • MALIPOPAY shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform, including but not limited to loss of revenue, loss of data, loss of business opportunities, or business interruption.
  • Our total aggregate liability for any claims arising from these Terms or your use of the Platform shall not exceed the total fees paid by you to MALIPOPAY in the twelve (12) months preceding the event giving rise to the claim.
  • MALIPOPAY is not responsible for failures, delays, or errors caused by third-party payment providers, mobile network operators, banks, card networks, or any other external service providers.
  • We do not guarantee uninterrupted, error-free, or secure access to the Platform, though we strive to maintain 99.9% uptime.

12. Indemnification

You agree to indemnify, defend, and hold harmless MALIPOPAY, Lockwood Technology Ltd, and their respective directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to your use of the Platform, your violation of these Terms, your violation of any applicable law or regulation, or your infringement of any third-party rights.

13. Termination

Either party may terminate this agreement at any time by providing written notice to the other party. Upon termination:

  • Your access to the Platform and all associated Services will be revoked.
  • Any pending settlements will be processed according to the normal settlement schedule, subject to any holds for disputes or suspected violations.
  • You must cease all use of MALIPOPAY branding, APIs, and integration code.
  • Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) shall continue to apply.

MALIPOPAY may suspend or terminate your account immediately and without prior notice if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required to do so by law or regulation.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania, without regard to its conflict of law provisions. All legal proceedings arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the United Republic of Tanzania.

15. Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to mediation under the rules of a recognized mediation body in Tanzania.

If mediation fails to resolve the dispute within sixty (60) days, either party may submit the dispute to binding arbitration in Dar es Salaam, Tanzania, in accordance with the Arbitration Act of Tanzania. The arbitration shall be conducted in English, and the decision of the arbitrator(s) shall be final and binding.

16. Force Majeure

MALIPOPAY shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, network failures, power outages, acts of terrorism, or pandemics.

17. Severability

If any provision of these Terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and MALIPOPAY regarding your use of the Platform. These Terms supersede all prior agreements, representations, and understandings, whether written or oral.
